Thank you for choosing Vera, an AI-powered platform provided by Vectrum Technologies ("Company," "we," "us," or "our"). These Terms of Use apply to your use of Vera, along with any associated software applications and websites (collectively, the "Services").

By using our Services, you agree to these Terms. Please read them carefully.

1. Who We Are

Vectrum Technologies is a technology provider dedicated to building tools that support information sharing and knowledge creation. We are committed to developing products that are accessible and community-driven. Our platform, Vera, utilizes third-party artificial intelligence models — including those provided by Google — to generate responses and assist users.

2. Age Verification and Eligibility

The Age Gate. To comply with global privacy regulations (including COPPA and GDPR), Vera requires all users to provide their month and year of birth before accessing the Services. By using Vera's Services without creating an account, you automatically agree to these Terms of Use and the Privacy Policy.

Minimum Age. You must be at least 13 years old (or the minimum age required in your country) to enter into this agreement and use the Services. If the date provided indicates you are under the age of 13, access to the Services will be automatically denied.

Parental Permission. If you are between the ages of 13 and 18, you represent that you have your parent's or legal guardian's permission to use the Services.

Accuracy of Information. By providing your birth date, you represent and warrant that the information is truthful. Providing a false birth date to bypass our safety systems is a material breach of these Terms and will result in account termination.

3. Registration and Access

Registration. After verifying your age, you may register for an account using Google Sign-In or other available methods. You must provide accurate and complete information.

Account Responsibility. You are responsible for all activities that occur under your account. You may not share your account credentials or make your account available to others.

Actual Knowledge. If we obtain actual knowledge that a user is under the age of 13 — despite the information provided during the age gate — we reserve the right to immediately terminate the account and delete all associated data without notice.

4. Using Our Services

Permitted Use. Subject to your compliance with these Terms, you may access and use Vera. You must comply with all applicable laws and usage policies.

Prohibited Activities. You may not use Vera for any illegal, harmful, or abusive activity. Specifically, you may not infringe, misappropriate, or violate anyone's rights; attempt to reverse engineer, decompile, or discover the source code of our Services or the underlying AI models; represent that Output (defined below) was human-generated when it was not; or automatically or programmatically extract data or Output.

Third-Party Providers. Our Services utilize APIs provided by Google. Your use is also subject to Google's Generative AI Prohibited Use Policy.

5. Content

Your Content. You may provide input to the Services ("Input") and receive generated output ("Output"). Together, these are referred to as "Content." You represent that you have all rights and permissions needed to provide Input to Vera.

Ownership. As between you and Vectrum Technologies, and to the extent permitted by law, you retain ownership of your Input and own the Output generated specifically for you.

Accuracy. Artificial intelligence is probabilistic and may produce output that does not accurately reflect real people, places, or facts. You should not rely on Vera as a sole source of truth or factual information, and Vera is not a substitute for professional legal, medical, or financial advice. You must not use Output for purposes that could have a legal or material impact on a person, such as making credit, employment, or medical decisions.

6. Intellectual Property

Vectrum Technologies and our licensors own all rights, title, and interest in the Services. You may only use our name and logo in accordance with our branding guidelines.

7. Termination and Suspension

By You. You may stop using Vera and delete your account at any time.

By Us. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if your use poses a risk to us, our users, or our third-party providers.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS." EXCEPT TO THE EXTENT PROHIBITED BY LAW, VECTRUM TECHNOLOGIES AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE OF OUTPUT IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTRUM TECHNOLOGIES AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE IN THE LAST 12 MONTHS OR ONE HUNDRED DOLLARS ($100).

10. Dispute Resolution (Mandatory Arbitration)

Direct Resolution. Before filing a claim, you agree to first attempt to resolve the dispute informally by contacting our support team.

Mandatory Arbitration. You and Vectrum Technologies agree to resolve any claims arising out of these Terms through final and binding arbitration.

Class Action Waiver. Disputes must be brought on an individual basis only. Class arbitrations and class actions are prohibited.

11. General Terms

Changes to Terms. We may update these Terms to reflect changes in the law or our Services. We will provide at least 30 days' notice for material changes that adversely affect you.

Governing Law. These Terms are governed by the laws of the country in which you reside.

Entire Agreement. These Terms supersede any prior agreements regarding Vera.
